JBS Couros and VIVA join forces to create a global leader in the segment
With 31 factories and more than 11,000 employees, distributed across Brazil, Italy, Uruguay, Argentine, Mexico, and Vietnam, JBS VIVA will operate in the processing of hides and in marketing to the most demanding markets in the world, expanding its presence and competitiveness worldwide.
"The merger with VIVA opens new opportunities for all of JBS Couros' more than 7,000 employees, who now become part of an even more robust business, better prepared to compete globally. JBS VIVA represents the union of more than 70 years of experience and international recognition", stated Gilberto Tomazoni, JBS Global CEO.
JBS Couros was founded with a focus on value creation, innovation, and differentiation. Over the years, it has launched more than 2,000 SKUs, with different performances, colors, textures, and designs, catering to the fashion and lifestyle trends of a dynamic and highly demanding market. The company has also established itself as a benchmark in sustainability with the KindLeather concept, a production model that has transformed the leather supply chain by reducing environmental impact and increasing value throughout the operation.
"We are very proud of what we have built over these years - expanding markets, investing in research and development, and redefining the industry's sustainability standard. Now, with the creation of JBS VIVA, we will be able to take this excellence to an even higher level", Tomazoni emphasized.
JBS will hold a 50% stake in the new company, and the VIVA group, formed by shareholders Vanz and Viposa, will hold the other 50%. The new company will have a board with equal participation from both groups, JBS and VIVA. The chairman and CFO will be appointed by JBS, while the CEO and COO will be appointed by VIVA. The completion of the transaction is subject to customary conditions precedent for this type of transaction and approval from the relevant authorities.
"The leather supply chain remains strategic, reinforcing JBS's vision that sustainability and profitability go hand in hand", highlights Guilherme Motta, leader of JBS Couros. "Leather, a natural byproduct of the bovine protein chain, gains new life when transformed into a wide range of products - from footwear and bags to upholstery for automobiles and furniture", he concludes.
